Definitions

Kennext, we, us means Kennext and its services.Customer, you means the person or entity using Kennext.Services means the website scanning, benchmarking, reporting, remediation tracker, monitoring, and any related deliverables.Scan Inputs means the URLs and any other information you submit for analysis.Deliverables means the reports, issue summaries, benchmarks, trackers, and recommendations we provide.

Scope of Services

Kennext provides automated and human assisted website analysis intended to surface technical and content issues, estimate opportunity, and provide prioritization guidance.You understand that outcomes depend on many factors outside our control (site changes, search engine algorithms, competitors, hosting, content strategy, implementation quality, and timing).Unless explicitly stated in an Order or plan description, Kennext does not implement fixes on your website and does not guarantee ranking, traffic, lead, or revenue outcomes.

Accounts and Eligibility

You must be at least 18 years old and able to form a binding contract.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

Acceptable Use

You agree not to:Use the Services in violation of any law or regulation.Scan or analyze websites you do not own or control, or do not have permission to test.Attempt to disrupt or overload the Services, including through automated abuse, scraping, or circumvention.Reverse engineer, decompile, or attempt to extract source code or underlying models except to the extent such restriction is prohibited by law.

Your Responsibilities

You represent that you have the rights and permissions needed to submit Scan Inputs.You are responsible for implementing recommended changes, validating them, and testing impact.You are responsible for your own backups and change management before making site updates.

Free Scan and Trial Limitations

If we offer a free scan, it is intended for evaluation and may be capped by page count, frequency, features, or output detail.

We may modify or discontinue free scan availability at any time.

Plans, Fees, and Payment

Paid plans, pricing, and included limits are described on our Pricing page or in a written order.Unless otherwise stated, fees are billed in advance and are non refundable except where required by law.If you exceed plan limits, we may charge overage fees, require an upgrade, or pause additional processing until the next billing period.

Renewals and Cancellation

Subscriptions renew automatically unless canceled before the renewal date.You may cancel at any time; cancellation stops future renewals but does not retroactively refund the current billing period unless required by law.

Deliverables and Benchmarking Disclaimers

Benchmarking outputs are directional comparisons based on available public signals and our methodology at the time of analysis.
Search engines and AI answer engines change frequently. We do not guarantee that any specific recommendation will produce a specific result.

Confidentiality

We will use reasonable care to protect non public information you provide to us.You agree to treat our Deliverables as confidential if they contain non public analysis that could reasonably be considered proprietary.Confidentiality does not apply to information that is public, independently developed, or rightfully obtained without restriction.

Data, Privacy, and Security

Our collection and use of personal data is described in our Privacy Policy.
We may log and store Scan Inputs and usage data to operate, secure, and improve the Services.
We are not responsible for the content hosted on third party websites you submit for scanning.

Intellectual Property

We retain all rights in the Services, including software, templates, workflows, methodologies, and Deliverables formats.
As between you and Kennext, you retain rights in your website content and Scan Inputs.
We grant you a limited, non exclusive, non transferable right to use the Deliverables internally for your business purposes.
You may not resell, sublicense, or publicly redistribute the Deliverables without our written permission.

Third Party Services

The Services may integrate with or reference third party services (for example analytics, CMS tools, or hosting providers).We are not responsible for third party services, their availability, or their terms.

Warranties and Disclaimers

The Services are provided “as is” and “as available.”
To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non infringement.
We do not warrant that the Services will be uninterrupted, error free, or that defects will be corrected immediately.

Limitation of Liability

To the fullest extent permitted by law:Kennext will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business interruption.Our total liability for any claim related to the Services will not exceed the fees you paid to Kennext in the 3 months preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Kennext from claims arising out of:Your Scan Inputs, your website content, or your misuse of the Services.Your violation of these Terms or applicable law.Your infringement or alleged infringement of third party rights.

Suspension and Termination

We may suspend or terminate your access if we reasonably believe you have violated these Terms, are abusing the Services, or pose a security risk.Upon termination, your right to use the Services ends. Sections intended to survive termination will survive (including IP, disclaimers, limitation of liability, indemnification).

Changes to the Services or Terms

We may update the Services and these Terms from time to time.If changes are material, we will provide notice by posting an update on our website or through the Services.Your continued use after the effective date means you accept the updated Terms.

Governing Law and Dispute Resolution

These Terms are governed by the laws of Pennsylvania, USA without regard to conflict of law principles.Any dispute will be brought in the courts located in Pennsylvania, USA, and you consent to venue and jurisdiction there.
